Brief description:
Cluster Legal Engineering is a team of lawyers that provides assistance to italian and foreign companies in matters of corporate and civil law and in regulation of financial activities, with particular attention to capital markets.
Company law and corporate finance therefore represent the core competence of the partners, many of whom have participated in some of the most complex corporate and financial transactions of recent years with primary responsibility roles.
Cluster is also focused on the implementation of corporate governance, organizational structures and internal and external regulation, aimed at complying with the legal and regulatory requirements of the industrial, banking, insurance and asset management sectors, as well as the interface with the Italian Authorities responsible for these sectors. It also deals with SMEs operating in the world of food, renewable energy, energy storage, protection of digital identities, health care and robotic microsurgery, accompanying them in the structuring of their legal framework to collect the necessary financial resources.
Main activities:
We assist companies during the listing for the IPO procedure and the following stages; we support issuers in the structuring of bond loans, purchasers/sellers of majority/minority shareholdings in companies that are open and closed to public savings; we assist clients during public tender offer; we support parties involved turnaround process and we assist in raising capital both for SMEs and Start-Up.
